Terms of Service.

Agreement

These terms govern your use of axiasolutions.ai and the pages served from it (the “Site”), published by Axia AI Inc (“Axia”, “we”, “us”). By using the Site you accept them. If you use it on behalf of an institution, you accept them for that institution. If you do not accept them, do not use the Site.

The Site and our services

The Site describes the work Axia does for colleges and universities. It is not an offer. Our services are provided only under a separate written agreement signed with each institution, and that agreement, not these terms, governs the services. Where the two conflict, the signed agreement prevails.

Figures, results and examples on the Site describe past work or illustrate a method. They are not a promise of any particular outcome for your institution.

Demonstration pages

Some pages on the Site are demonstrations and samples used in conversations with institutions. They may contain illustrative or sample data, are provided for evaluation only, and do not form part of any commitment unless a signed agreement says so.

Acceptable use

You agree not to:

• use the Site in violation of any law, or to infringe anyone’s rights;
• attempt to gain unauthorized access to the Site, its hosting or any system connected to it, or probe, scan or test their vulnerability without our written permission;
• interfere with the Site’s operation, including by overloading it or introducing malicious code;
• submit false information through the contact form, or impersonate any person or institution;
• present the Site’s content in a way that suggests Axia endorses you or your product.

Reading, indexing and quoting the Site’s public pages, including by search engines and AI systems, is welcome, provided the source is not misrepresented.

Intellectual property

The Site and its content, including text, design, graphics, photographs, the 3D model and the Axia name and marks, belong to Axia or its licensors and are protected by law. You may view the Site and share links to it. Any other use requires our written permission.

What you send us

You are responsible for the information you submit through the Site and confirm you are entitled to share it. We handle it as our Privacy Policy describes. Do not send confidential information through the contact form; there is a better channel for it once we are working together.

Links to other sites

The Site may link to sites we do not control, including rodas.ai and our partners. We are not responsible for their content or practices.

No warranties

The Site is provided “as is” and “as available”. To the fullest extent the law allows, Axia disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components.

Limitation of liability

To the fullest extent the law allows, Axia will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the Site. Our total liability for any claim arising from the Site is limited to one hundred US dollars (US$100). Some jurisdictions do not allow these limits, so they may not apply to you in full.

Indemnity

You agree to indemnify Axia against claims, losses and expenses, including reasonable legal fees, arising from your breach of these terms or your misuse of the Site.

Governing law

These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute arising from them or from the Site will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction.

General

If any part of these terms is found unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver of it. You may not assign these terms; we may assign them to a successor.

Changes

We may update these terms by posting a new version here with a new effective date. Using the Site after that date means you accept the updated terms.
